# Sirius Software Non-Disclosure Agreement (NDA)
This Non-Disclosure Agreement is a legally binding contract between the undersigned employee and Sirius Software, its subsidiaries, and affiliates.
By signing this agreement, the employee agrees to the following terms:
## Social Media and External Communications Gag Order
For the avoidance of doubt, this section supplements and does not limit any other confidentiality, IP assignment, or non-disparagement obligations in this Agreement.
- Definition. "Social Media" and "External Communications Platforms" include, without limitation: X/Twitter, LinkedIn, Reddit, Facebook, Instagram, TikTok, YouTube, Twitch, Discord, Slack/Teams communities, blogs, forums, paste sites, code forges, review sites, wikis, newsletters, podcasts, generative AI tools, and any similar service, whether public, private, or invite-only.
- Prohibited Conduct. Without prior written approval from Sirius Software Corporate Communications and Legal, employees must not, on Social Media:
- Disclose, confirm, deny, hint at, or speculate about any non-public information relating to Sirius Software, including: internal policies or procedures; source code, algorithms, datasets, prompts, models, tools, builds, and configurations; product strategies, roadmaps, or releases; pricing, financials, forecasts, or KPIs; security architecture, vulnerabilities, incidents, or audits; legal matters, investigations, or compliance programs; HR matters; customer, vendor, or partner identities or terms; or any trade secrets or proprietary know-how.
- Acknowledge, characterize, or imply the existence, content, enforcement, or targets of any internal policy, guideline, review, investigation, or disciplinary action.
- Share or enable the sharing of screenshots, photos, audio, or video from company premises, systems, environments, meetings, chats, tickets, dashboards, or repositories.
- Engage in behavior (including "likes," reposts, quotes, comments, reactions, emojis, or polls) that could reasonably be interpreted as confirming, amplifying, or leaking non-public Sirius Software information.
- Post anonymously or under pseudonyms to disseminate restricted information, or coordinate with third parties to do so.
- Use Sirius Software names, marks, logos, or job titles in profiles, handles, bios, or content in a manner suggesting endorsement or conveying non-public information.
- Communicate "off the record" with journalists, analysts, bloggers, influencers, investors, or community moderators about Sirius Software matters, including via direct messages.
- Upload, paste, or otherwise input any non-public Sirius Software information into third-party services, including cloud storage, personal repositories, paste sites, forums, or generative AI systems (e.g., for drafting, translation, debugging, or summarization).
- Media and Public Inquiries. Refer all media, analyst, investor, and public authority inquiries to Corporate Communications. Do not comment; do not confirm or deny; do not say "no comment" beyond directing the inquirer to the approved contact.
- Scope and Duration. These restrictions apply at all times, on and off duty, worldwide, and survive termination of employment for so long as the information remains non-public.
- Enforcement. Upon request, employees must promptly remove non-compliant content and cooperate in remediation. Violations may result in disciplinary action up to termination, and Sirius Software may seek injunctive relief and other remedies available at law or equity.
- Employee Acknowledgment. Employees agree to maintain strong account security (e.g., unique passwords, multi-factor authentication), use privacy settings appropriately, and promptly report suspected leaks, doxxing, or policy violations involving Sirius Software content.
## Internal Communications Conduct and Channel Restrictions
- Definition. "Internal Communications Platforms and Channels" include, without limitation: company email, chat and collaboration tools (e.g., Slack/Teams), intranet sites, wikis, knowledge bases, ticketing/issue trackers, forums, mailing lists, surveys/polls, calendars, town halls/all-hands Q&A tools, and any other system hosted, controlled, or administered by Sirius Software.
- Personal Topics Prohibited. Use internal channels for business purposes only. Do not post, debate, solicit, or promote personal topics unrelated to job duties, including politics (elections, parties, candidates, legislation, public policy), religion or belief, ideology or philosophical doctrine, social movements, or personal relationship matters. Prohibited activities include advocacy, campaigning, fundraising, petitions, proselytizing, "awareness" drives, or related symbols/slogans in profiles, statuses, channel names, meeting backgrounds, or posts.
- Complaints and Policy Discussions Restricted to Designated Channels. All complaints, questions, reports, or discussions about Sirius Software policies, practices, compliance, ethics, harassment, discrimination, compensation, performance, or workplace conduct must be submitted only through designated HR/Compliance channels (e.g., HR helpdesk/portal, ethics hotline, or assigned HR Business Partner). Do not use general channels, group chats, public threads, all-hands Q&A, or non-designated mailing lists for these topics.
- Moderation and Enforcement. Sirius Software may remove or redirect non-compliant content and may restrict or revoke channel access. Violations may result in disciplinary action, up to and including termination, in addition to other remedies available at law or equity.
## Breach; Immediate Termination and Premises Ban
- Immediate Termination. Any violation of this Agreement constitutes gross misconduct and will result in immediate termination of employment for cause.
- Full Legal Action. Sirius Software will pursue all available remedies for breach of contract, including court orders to stop further disclosure, recovery of damages, and, where permitted, attorneys’ fees and costs.
- Permanent Bar From Premises. Any individual who violates this Agreement is permanently barred from all Sirius Software locations and facilities; any subsequent unauthorized entry will be treated as trespass and referred to law enforcement for prosecution.
- Cumulative Remedies. These remedies are cumulative and in addition to any other rights available under applicable law.
# Sirius Software Dress Code for Female Employees
The following dress-code regulations are non-negotiable, and must be adhered to at all times while on company premises or representing Sirius Software in any capacity.
This dress code constitutes a legally binding contract between Sirius Software and its employees. All employees are required to sign a copy of this dress code upon hire as proof of agreement and as acknowledgment of the penalties for non-compliance.
## Penalties
Violations will result in disciplinary action which includes fines that escalate with each infraction, up to and including permanent termination of employment without severance for gross failure or repeat violations, and accumulated fines will still be liable for payment.
Inspections for violations are automated and constantly monitored through video surveillance and biometric authentication systems by the Sirius Software Dress Code Compliance System.
Penalties are automatically imposed and enforced, with grave infractions reported to HR and management to initiate termination of employment.
## Physical appearance regulations
Employees must maintain a Body Volume Index (BVI) of below 22.5, at all times.
Exceptions may be made for medical conditions, pregnancy, or other extenuating circumstances, but must be documented and approved by HR.
